Lady Duff-Gordon (Lucy Christiana Sutherland) was a prominent British clothes designer at the end of the Nineteenth and early Twentieth Centuries. She was also a survivor of the Titanic.
She entered into an agreement with Wood in which they exchanged the following promises.
Lucy promised that Wood would be the exclusive marketer of her designs.
Wood promised that he would be the exclusive marketer of her designs and would pay her half of the profits he made on any sales.
After entering the contract, Lucy was approached by Sears, which wanted to include her designs in the Sears mail order catalog.Lucy wanted to contraxt with Sears.
Contracting with Sears would
breach Lucy's promise that Wood would be the exclusive markerter.
